Borough Council contract Parish to run a park

Hello. Parish Council would like senior Borough Council (=the LPA) to let them have manage a nature park, 42Ha of a former golf course, beautifully land, long term to invest in nature and recreation. Borough own the land. To get round S.123 on ‘disposal’ of this valuable asset, some Borough Councillors propose giving a contract (no lease) to the Parish Council to manage the park as a service to Borough residents. (a) might a court judge this as still unlawful? And (b) May there other clever ways that the Borough can get the site to the Parish for a decent long term period eg 30 years (investment partly funded by local BNG revenues)?  Thanks Robin
